1. Agreement to these Terms
These Terms of Service govern access to and use of VeroKit’s websites, public media kits, dashboards, CRM, marketplace, order workspaces, invoicing, reporting, and related services (the “Service”). By creating an account, accessing a restricted workspace, or using the Service, you agree to these Terms.
If you use VeroKit for a company or other organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Service.
2. What VeroKit provides
VeroKit is a software and marketplace platform for creators, brands, and agencies. Depending on plan and location, the Service may include:
- public-source creator media kits and performance insights;
- creator and client relationship management, outreach, tasks, and calendars;
- campaigns, briefs, offers, agreements, usage-rights records, approvals, delivery, and reports;
- invoicing, expense records, project profitability, and exports;
- Stripe-powered checkout, connected-account onboarding, transfers, refunds, and payout status; and
- team, notification, moderation, support, and administrator tools.
Features, limits, integrations, and availability can vary by subscription plan, country, platform dependency, and product stage.
3. Accounts, roles, and security
You must provide accurate information, keep credentials secure, and promptly update account details. You are responsible for activity performed through your account and for assigning appropriate permissions to team members.
You may not share administrator credentials, impersonate another person, create deceptive accounts, or access another workspace without authorization. Notify getverokit@verokit.com if you believe an account has been compromised.
Production customer workspaces contain only records created, imported, or authorized through the live Service. Development and automated-test fixtures are isolated from production data.
4. Marketplace relationship
VeroKit helps users discover one another and organize commercial work. Unless VeroKit expressly identifies itself as the contracting party, creators, brands, agencies, clients, and other users contract directly with each other. VeroKit is not an employer, talent agent, fiduciary, insurer, or guarantor of any user.
Each user is responsible for evaluating counterparties, negotiating appropriate terms, obtaining professional advice, and complying with advertising, employment, tax, consumer-protection, sanctions, and other applicable laws.
5. Public-source social data and insights
Creator profiles may display data derived from public sources, user-provided information, or authorized data providers. A Brand or Agency search may create an unclaimed, non-bookable analytics profile so the same public creator is not repeatedly imported. Unclaimed profiles do not publish creator-set rates and are excluded from search-engine indexing until claimed.
Metrics, suggested rate ranges, quality signals, and campaign-fit recommendations can be delayed, incomplete, estimated, reformatted, or affected by platform changes. They are planning aids—not guarantees, offers, professional valuations, or factual verdicts about a person. Creators can request correction, removal, or a reviewed ownership claim.
VeroKit does not require creators to give VeroKit their social-media passwords and does not post to their social accounts through the public-data workflow.
6. User content and permissions
You retain ownership of content you submit, subject to the rights you grant to other users in a collaboration. You grant VeroKit a worldwide, non-exclusive, royalty-free license to host, copy, process, format, display, and transmit that content only as necessary to operate, secure, support, and improve the Service.
You represent that you have the rights and permissions needed for content, logos, client data, audience information, briefs, music, trademarks, testimonials, and other materials you upload. You must not upload unlawful, infringing, deceptive, malicious, or privacy-invasive material.
7. CRM contacts and outside work
Users may add contacts, clients, deals, expenses, communications, and projects that originated outside VeroKit. The user adding that information is responsible for having a lawful basis to store and use it, respecting marketing and privacy rules, keeping it accurate, and responding to the individual’s rights.
VeroKit does not verify outside deal values, costs, payment status, or other manually entered business records.
8. Collaboration terms and approvals
In-product agreements, briefs, deliverables, revisions, usage rights, exclusivity, deadlines, approvals, and acceptance records are tools for documenting user-to-user arrangements. Users are responsible for reviewing them and determining whether independent legal advice is appropriate.
Electronic actions may be recorded with timestamps, account identifiers, and related evidence. An approval or acceptance made through an authorized account may be treated as the action of that account holder.
9. Plans, subscriptions, trials, and fees
Current plan pricing, included features, limits, creator fees, and brand service fees are shown before purchase or on the pricing page. Paid-plan trials last 14 days and require a payment method. Unless you cancel before the displayed trial end, Stripe automatically charges the monthly or annual rate you selected and the subscription renews at that interval until cancelled.
Annual subscriptions are billed as one yearly payment at the displayed discounted total. Cancellation stops a future renewal or takes effect as shown in Stripe Billing and does not ordinarily create a refund for the current period. Taxes, payment-processor charges, currency conversion, chargebacks, and third-party costs may apply. We may change future pricing or plan packaging with reasonable notice where required by law.
10. Payments, connected accounts, and payouts
Payment services are provided by Stripe and may require identity, business, tax, and banking information. Stripe’s terms and privacy practices also apply. VeroKit does not store complete payment-card or bank-account numbers.
For supported marketplace orders, VeroKit may coordinate payment collection and later transfer the creator amount after the stated release condition. This is a delayed transfer workflow, not a regulated escrow service. Transfers, refunds, disputes, reserves, holds, and payout timing can be affected by Stripe, banks, card networks, law, risk review, or account eligibility.
Never treat a dashboard status as final settlement until funds have cleared through the relevant financial institution.
12. Acceptable use
You must not use the Service to:
- violate law, sanctions, advertising-disclosure duties, platform rules, or another person’s rights;
- misrepresent identity, performance, audience, authority, content ownership, expenses, payments, or business results;
- buy or conceal fake engagement, manipulate analytics, or evade safeguards;
- harass, discriminate, exploit minors, distribute malware, scrape restricted areas, or interfere with the Service;
- send unlawful or unsolicited communications; or
- circumvent agreed VeroKit fees for a transaction materially originated and completed through VeroKit.
13. VeroKit intellectual property
VeroKit and its licensors own the Service, software, interface, branding, documentation, and non-user content. These Terms give you a limited, revocable, non-transferable right to use the Service for its intended business purpose. They do not grant ownership of VeroKit intellectual property.
Feedback may be used without restriction or compensation, provided it does not identify confidential user information.
14. Third-party services
The Service depends on third parties such as hosting, databases, object storage, payments, email delivery, authentication, address search, analytics, and social-data providers. Their services and terms may change or become unavailable. Links to third-party sites are provided for convenience and are not endorsements.
15. Suspension and termination
You may stop using VeroKit or request account closure. We may limit, suspend, or terminate access to protect users, comply with law, investigate risk, respond to non-payment, address abuse, or preserve Service integrity. Where practical, we will provide notice and an opportunity to resolve the issue.
Provisions concerning payments, licenses already granted, records, confidentiality, disclaimers, liability, disputes, and other terms that logically survive will continue after termination.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not guarantee uninterrupted availability, a particular business result, creator authenticity, campaign performance, collection of an invoice, payment eligibility, data completeness, or compatibility with every third-party platform.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
17. Limitation of liability
To the maximum extent permitted by law, VeroKit will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from the Service or user-to-user dealings.
Where liability cannot be excluded, VeroKit’s aggregate liability for claims relating to the Service will not exceed the greater of amounts you paid to VeroKit during the twelve months before the event giving rise to the claim or CAD $100. This limitation does not apply where prohibited by law.
18. Indemnity
To the extent permitted by law, you will defend and indemnify VeroKit from third-party claims, damages, and reasonable costs arising from your content, conduct, transactions, violation of these Terms, infringement, privacy practices, taxes, or misuse of the Service.
19. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before starting formal proceedings, you and VeroKit agree to attempt good-faith informal resolution for at least thirty days after written notice. Subject to mandatory consumer rights, courts located in Ontario will have exclusive jurisdiction.
User-to-user disagreements should first use the in-product evidence and dispute process when available. That process does not prevent either party from pursuing rights available under applicable law.
20. Changes and contact
We may update these Terms as the Service, law, or risk environment changes. We will update the effective date and provide additional notice when legally required. Continued use after an update takes effect means you accept the revised Terms.
